Terms of Service

Welcome to Coldtea — a desktop application and accompanying website at coldtea.ai (collectively, the "Service"), owned and operated by BestRegards, Inc. ("Company," "we," "us," or "our"). Certain features of the Service may be subject to additional guidelines, terms, or rules, which will be posted in connection with such features. All such additional terms are incorporated by reference into these Terms of Service ("Terms").

By accessing or using the Service, you represent and warrant that (i) you are at least 18 years of age and have the right, authority, and capacity to enter into these Terms; and (ii) you agree to be bound by all provisions of these Terms. If you do not agree, do not access or use the Service.

1. Accounts

1.1 Account Creation

To access certain features of the Service, you must register for an account ("Account"). You agree to provide true and accurate information when registering and to keep that information updated. You may delete your Account at any time by following the instructions provided in the app or by emailing us. We reserve the right to suspend or terminate your Account as described in Section 8 (Termination).

1.2 Account Responsibilities

You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. Notify us immediately of any unauthorized use or security breach. We will not be liable for any losses arising from unauthorized use of your Account.

2. Description of Service

Coldtea is a desktop application for the full software development lifecycle in the agentic era. It provides a transparent terminal host for CLI-based coding agents, implementation planning, automated agent-reviews-agent code review, PR automation, deployment awareness, and post-deployment monitoring. The core terminal host runs locally; collaboration, orchestration, and lifecycle features are powered by an additive cloud backend.

3. User Accounts and Access

You must maintain accurate account information at all times
You are responsible for all activity occurring under your Account
Sharing of a single Account between multiple users is strictly prohibited
Team features, where available, are governed by the roles and permissions configured by your team's administrator

4. Subscription and Payment Terms

Some features of the Service may be offered under paid tiers, each with specific limits on usage, seats, or capabilities. Where applicable, subscription fees are billed in advance and are non-refundable unless required by law. You agree to maintain valid payment information for your chosen plan.

5. Usage Restrictions

You may not reverse engineer, decompile, or attempt to derive source code of the Service, except to the extent such restriction is prohibited by applicable law
You may not use the Service to build a directly competing product, or to circumvent usage limits of the Service or any third-party services accessed through it
You may not use the Service to generate, distribute, or host content that is unlawful, infringing, or abusive
You are responsible for complying with the terms of any third-party tools, models, and agents you run through Coldtea

6. Intellectual Property

You retain ownership of your code, prompts, and other content you create or provide. We retain ownership of the Service, including its software, design, and underlying technology. You grant us a limited license to analyze aggregate, anonymized usage patterns to operate and improve the Service. We will not use your code or content to train models without your explicit opt-in.

7. Disclaimers and Limitations

The Service is provided on an "as is" and "as available" basis. Coding agents orchestrated through Coldtea are third-party tools; we make no guarantees about the accuracy, safety, or suitability of any output they produce, including code, deployments, or post-deployment actions. You are responsible for reviewing and approving any changes before they reach production.

We target high availability for cloud-side features but do not guarantee any specific uptime and are not liable for service interruptions or resulting business losses.

8. Termination

You may terminate your Account at any time. We may suspend or terminate your access if you violate these Terms, misuse the Service, or if we are required to do so by law. On termination, provisions that by their nature should survive — including ownership, disclaimers, and limitations of liability — will continue to apply.

9. Governing Law

These Terms are governed by the laws of the jurisdiction where BestRegards, Inc. is legally registered, without regard to its conflict-of-laws rules. Any disputes shall be resolved through arbitration in accordance with the rules of the relevant arbitration authority in that jurisdiction.
